These Terms and Conditions (“Terms”) govern your access to and use of the Gooprep platform, a digital tutoring marketplace operated by Gooprep, accessible via www.gooprep.com and associated mobile applications. These Terms apply to all users of the platform, including students, parents, and tutors.

By accessing or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use Gooprep.

1. Definitions

• “Gooprep” refers to the digital platform and services facilitating connections between students/parents and verified tutors.
• “User” includes any individual or entity who accesses, registers, or uses any part of the platform.
• “Tutor” refers to individuals who provide educational instruction via the Gooprep platform.
• “Student” or “Parent” means individuals seeking or arranging tutoring services.
• “Lesson” means a scheduled session facilitated through the Gooprep platform.
• “Premium Services” include subscription-based features that provide enhanced benefits to users.

2. Eligibility and Account Registration

• Users must be at least sixteen (16) years of age to use the Gooprep platform. Users under the age of eighteen (18) may only use the platform with the consent and supervision of a parent or legal guardian. By using the platform, such users confirm that appropriate consent has been obtained.

  Users agree to provide accurate, current, and complete information during the registration process and to keep such information updated at all times. Gooprep reserves the right to suspend or terminate accounts that contain false, misleading, or incomplete information.

  Each user is solely responsible for maintaining the confidentiality and security of their account credentials, including their username and password. Users agree not to share their login details or permit any third party to access their account.

  Users are responsible for all activities that occur under their account. If a user suspects any unauthorized access or breach of security, they must notify Gooprep immediately. Gooprep shall not be liable for any loss or damage arising from a user’s failure to comply with these obligations.

3. Tutor Verification and Conduct

• Tutors are required to undergo a verification process as determined by Gooprep, which may include the submission of valid government-issued identification, academic qualifications, teaching credentials, and any other supporting documentation deemed necessary by the platform. Gooprep reserves the right to modify or expand its verification requirements at any time.

  Tutors agree to provide accurate, current, and truthful information in their profiles and must ensure that such information is kept up to date at all times. Misrepresentation of qualifications, experience, or identity may result in suspension or permanent removal from the platform.

  Tutors are expected to maintain a high standard of professionalism, including but not limited to punctuality, respectful communication, preparedness for lessons, and adherence to agreed schedules with students.

  Gooprep reserves the right, at its sole discretion, to suspend, restrict, or permanently remove any tutor account in cases including, but not limited to, failure to meet verification requirements, provision of false or misleading information, repeated negative feedback or low ratings, violation of platform policies, or conduct deemed inappropriate, unprofessional, or harmful to users or the platform.

4. Student/Parent Registration and Use

• Students and parents must register with a valid email address and phone number, verified via OTP.
• Users may personalize their accounts by adding learning preferences, academic level, and preferred subjects to improve tutor recommendations.

5. Search, Matching & Recommendations

• The platform provides an AI-powered matching engine to recommend suitable tutors based on subjects, learning level, price, availability, and user behavior.
• Users may also manually filter search results using parameters such as location, rating, hourly rate, mode of lesson (online/in-person), and credentials.

6. Booking and Scheduling

• Bookings must be made through the Gooprep system and are subject to tutor acceptance within 24 hours.
• Students can choose lesson duration and propose multiple timeslots.
• Tutors may accept, decline, or suggest alternative lesson times.
• Confirmed bookings are added to both parties’ schedules.

7. Payments and Escrow System

• All payments are processed securely via MTN Mobile Money, Vodafone Cash, Paystack, or Flutterwave.
• Payment is made in advance and held in escrow until lesson completion.
• Upon confirmation of lesson delivery, a request is made from the tutor and Gooprep will releases the funds to the tutor, minus the applicable commission within 48hours.
• Tutors may request weekly withdrawals, which are processed within 24 hours.

8. Commissions, Subscriptions, and Premium Tiers

• Gooprep may apply a commission fee on tutoring sessions conducted through the platform. This commission may vary depending on factors such as the nature of the booking, tutor participation in promotional offers, or platform policies in effect at the time.

  As part of its pricing structure, Gooprep may offer reduced commission rates for initial bookings between a student and a tutor. Subsequent bookings between the same student and tutor may be subject to a higher standard commission rate.

  The applicable commission rates, which may typically range between 10% and 20%, will be communicated to users through the platform and may be updated from time to time at Gooprep’s discretion.

• In certain cases, Gooprep may apply a commission rate of approximately 15% on a student’s first booking with a tutor, and a higher rate (which may be up to but not more than 20%) on subsequent bookings between the same student and tutor. These rates are indicative and may be adjusted, modified, or replaced at any time at Gooprep’s discretion.

• If and when such subscription plans are introduced, applicable fees, billing terms, and renewal policies will be clearly communicated. Subscription payments, once activated, may be non-refundable and may automatically renew unless canceled in accordance with the applicable terms at that time.

9.  Cancellations, No-Shows & Refund Policy

• Students may cancel bookings more than 12 hours in advance for a full refund minus transaction fees.
• Cancellations within 12 hours result in a 50% refund, unless agreed otherwise by the tutor.
• Tutors canceling lessons repeatedly without just cause may face penalties, including suspension.
• In cases of disputes or dissatisfaction, students are protected by Gooprep’s “Good Fit Guarantee.”

10. Messaging, Communication & File Sharing

• Users must use Gooprep’s in-app messaging system for all lesson coordination, including rescheduling and lesson material sharing.
• Users may upload documents, images, and videos as lesson resources.
• Communication outside the platform is discouraged and may lead to restricted account access.

11. Ratings, Reviews & Quality Control

• After each lesson, students or parents may leave a rating and written review.
• Reviews must reflect genuine lesson experiences and be free from offensive or defamatory language.
• Repeatedly low-rated tutors may be flagged for review or removal.

12. Data Protection & Privacy

• Gooprep follows strict data protection protocols under the Ghana Data Protection Act and applicable international regulations.
• User data is encrypted using AES-256 and stored securely.
• Users have the right to access, update, or delete their personal information via account settings.

13. Intellectual Property

• All intellectual property on the Gooprep platform—including software, graphics, content, trademarks, and branding—is the sole property of Gooprep.
• Users may not copy, reverse-engineer, distribute, or commercialize any platform content without prior written permission.

14. Termination and Suspension of Accounts

• Gooprep reserves the right to suspend or permanently deactivate accounts that breach these Terms, engage in fraud, or harm the platform’s integrity.
• Users may voluntarily close their accounts via the settings page.
• Funds held in escrow at the time of account suspension will be subject to investigation and refund or release based on findings.

15. Disclaimers and Limitation of Liability

• Gooprep provides a matching service and does not guarantee any specific learning outcomes.
• Users accept that tutors are independent contractors and not employees of Gooprep.
• Gooprep is not liable for any direct, indirect, incidental, or consequential damages resulting from use of the platform.

16. Dispute Resolution

• All parties agree to attempt resolution of disputes through informal negotiation.
• If a resolution cannot be reached, disputes will be referred to binding arbitration in Ghana under the Alternative Dispute Resolution Act, 2010 (Act 798).
• Arbitration shall take place in English and the decision shall be final and binding.

17. Modifications to Terms

• Gooprep may revise these Terms at any time, with notice to users via email or in-app notifications.
• Users are responsible for reviewing changes and continued use constitutes acceptance.

18. Governing Law

• These Terms are governed by the laws of the Republic of Ghana.
• Users agree to submit to the jurisdiction of the Ghanaian courts for any matters not resolved through arbitration.
