TERMS AND CONDITIONS

Welcome to Gooprep. These Terms and Conditions (“Terms”) govern access to and use of the Gooprep platform, a digital tutoring marketplace operated by Gooprep (“Gooprep,” “we,” “us,” or “our”), accessible via www.gooprep.com and any associated mobile applications (collectively, the “Platform”). These Terms apply to all users of the Platform, including students, parents, and tutors.

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Platform.

“Gooprep” refers to the digital platform and services facilitating connections between students or parents and verified tutors.

“User” means any individual or entity who accesses, registers for, or otherwise uses any part of the Platform.

“Tutor” means an individual who provides educational instruction through the platform.

“Student” or “Parent” means an individual seeking or arranging tutoring services through the platform.

“Lesson” means a scheduled tutoring session facilitated through the platform.

“Premium Services” means subscription-based features that provide enhanced benefits to users.

2.1 Users must be at least sixteen (16) years of age to use the Platform. Users between sixteen (16) and eighteen (18) years of age may only use the Platform with the consent and supervision of a parent or legal guardian, and by using the Platform, such Users represent that appropriate consent has been obtained.

2.2 Users agree to provide accurate, current, and complete information during registration and to keep such information updated at all times. Gooprep reserves the right to suspend or terminate any account containing false, misleading, or incomplete information.

2.3 Each User is solely responsible for maintaining the confidentiality and security of their account credentials and agrees not to share login details or permit third-party access to their account.

2.4 Users are responsible for all activity occurring under their account and must notify Gooprep immediately of any suspected unauthorised access or security breach. Gooprep shall not be liable for any loss or damage arising from a User’s failure to comply with this section.

3.1 Tutors must complete a verification process determined by Gooprep, which may include submission of valid government-issued identification, academic qualifications, teaching credentials, and any other documentation Gooprep deems necessary. Gooprep reserves the right to modify or expand its verification requirements at any time.

3.2 Tutors agree to provide accurate, current, and truthful profile information at all times. Misrepresentation of qualifications, experience, or identity may result in suspension or permanent removal from the Platform.

3.3 Tutors shall maintain a high standard of professionalism, including punctuality, respectful communication, lesson preparedness, and adherence to agreed schedules.

3.4 Gooprep reserves the right, at its sole discretion, to suspend, restrict, or permanently remove any Tutor account for reasons including, without limitation: failure to meet verification requirements; provision of false or misleading information; repeated negative feedback or low ratings; violation of Platform policies; or conduct deemed inappropriate, unprofessional, or harmful to Users or the Platform.

4.1 Students and parents must register with a valid email address and phone number, verified by a one-time password (OTP).

4.2 Users may personalise their accounts with learning preferences, academic level, and preferred subjects to improve tutor recommendations.

5.1 The Platform provides an AI-powered matching engine that recommends suitable tutors based on subject, learning level, price, availability, and user behaviour.

5.2 Users may also manually filter search results by parameters such as location, rating, hourly rate, lesson mode (online or in-person), and credentials.

6.1 Bookings must be made through the Gooprep system and are subject to tutor acceptance within twenty-four (24) hours.

6.2 Students may select lesson duration and propose multiple time slots. Tutors may accept, decline, or propose alternative times.

6.3 Confirmed bookings are added to both parties’ schedules.

7.1 All payments are processed securely via MTN Mobile Money, Vodafone Cash, Paystack, or Flutterwave.

7.2 Payment is made in advance and held in escrow until lesson completion.

7.3 Upon confirmation of lesson delivery and a corresponding request from the Tutor, Gooprep will release the funds to the Tutor, less the applicable commission, within forty-eight (48) hours.

7.4 Tutors may request weekly withdrawals, which will be processed within twenty-four (24) hours.

8.1 Gooprep may apply a commission fee on tutoring sessions conducted through the Platform. This commission may vary depending on factors such as the nature of the booking, Tutor participation in promotional offers, or Platform policy in effect at the time.

8.2 As part of its pricing structure, Gooprep may apply a reduced commission rate to a student’s first booking with a given Tutor, with subsequent bookings between the same student and Tutor subject to a higher standard rate. Applicable commission rates typically range between ten percent (10%) and twenty percent (20%) — indicatively, approximately fifteen percent (15%) on a first booking and up to, but not exceeding, twenty percent (20%) on subsequent bookings between the same parties. These rates are indicative and may be adjusted, modified, or replaced at Gooprep’s discretion, with changes communicated to Users through the Platform.

8.3 Gooprep may, at its sole discretion, introduce optional subscription-based premium plans (such as Silver, Gold, or Platinum tiers) offering benefits including increased visibility, reduced commission rates, and access to exclusive features. Where such plans are introduced, applicable fees, billing terms, and renewal policies will be clearly communicated in advance. Subscription payments, once activated, may be non-refundable and may automatically renew unless cancelled in accordance with the terms applicable at that time.

9.1 Students may cancel a booking more than twelve (12) hours in advance for a full refund, less transaction fees.

9.2 Cancellations made within twelve (12) hours of a scheduled lesson result in a fifty per cent (50%) refund, unless otherwise agreed by the tutor.

9.3 Tutors who repeatedly cancel lessons without just cause may face penalties, including suspension.

9.4 In the event of a dispute or dissatisfaction, students are protected by Gooprep’s “Good Fit Guarantee”.

10.1 Users must use Gooprep’s in-app messaging system for all lesson coordination, including rescheduling and sharing of lesson materials.

10.2 Users may upload documents, images, and videos as lesson resources.

10.3 Communication outside the platform is discouraged and may result in restricted account access.

11.1 Following each lesson, students or parents may submit a rating and written review.

11.2 Reviews must reflect genuine lesson experiences and must be free of offensive or defamatory language.

11.3 Tutors with repeatedly low ratings may be flagged for review or removal from the platform.

12.1 Gooprep adheres to data protection protocols consistent with Ghana’s Data Protection Act, 2012 (Act 843), and applicable international standards.

12.2 User data is encrypted using AES-256 and stored securely.

12.3 Users have the right to access, update, or delete their personal information via their account settings.

13.1 All intellectual property on the Platform — including software, graphics, content, trademarks, and branding — is the sole property of Gooprep.

13.2 Users may not copy, reverse-engineer, distribute, or commercialise any Platform content without Gooprep’s prior written permission.

14.1 Gooprep reserves the right to suspend or permanently deactivate any account that breaches these terms, engages in fraud, or otherwise harms the Platform’s integrity.

14.2 Users may voluntarily close their accounts via account settings.

14.3 Funds held in escrow at the time of account suspension will be subject to investigation, with resolution by refund or release based on findings.

15.1 Gooprep provides a matching service and does not guarantee any specific learning outcome.

15.2 Tutors are independent contractors and are not employees or agents of Gooprep.

15.3 To the fullest extent permitted by law, Gooprep shall not be liable for any direct, indirect, incidental, or consequential damages arising from use of the Platform.

16.1 By registering as a Tutor on the Gooprep Tutoring Network and creating a Tutor profile, you grant Gooprep a worldwide, non-exclusive, royalty-free licence to use your profile photograph, display name, tutoring subjects, qualifications, ratings, and other publicly available profile information for the purpose of promoting the Platform and your tutoring services.

16.2 This licence includes use of your profile image and information in promotional materials such as social media advertisements, digital marketing campaigns, website promotions, email marketing, printed materials, search and display advertisements, promotional videos, and other marketing activities related to Gooprep.

16.3 The purpose of this license is to increase the visibility of your tutoring profile, help learners discover your services, and increase your booking opportunities.

16.4 Gooprep will not sell your image or use it to endorse any third-party product or service unrelated to Gooprep without your separate consent.

16.5 This license remains in effect while your Tutor account is active. If you permanently delete your account, Gooprep will cease using your profile image in future marketing campaigns within a reasonable period, except where materials have already been published or distributed prior to account closure.

17.1 The parties agree to first attempt resolution of any dispute through informal negotiation.

17.2 Where a resolution cannot be reached informally, the dispute shall be referred to binding arbitration in Ghana under the Alternative Dispute Resolution Act, 2010 (Act 798).

17.3 Arbitration shall be conducted in English, and the arbitrator’s decision shall be final and binding on the parties.

18.1 Gooprep may revise these terms at any time, with notice provided to users via email or in-app notification.

18.2 Users are responsible for reviewing any changes, and continued use of the Platform following notice constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Republic of Ghana. Users agree to submit to the jurisdiction of the Ghanaian courts for any matter not resolved through arbitration under Section 17.
